Version draft-0 · Australia · ex-GST
These Terms & Conditions of Sale govern a Confirmed Order placed by a buyer with a supplier through InfraDBM once the supplier has approved payment terms for that buyer. Submitting a Confirmed Order constitutes the buyer's purchase order on these terms.
These terms apply to each Confirmed Order between the buyer and the supplier named on that order. They operate alongside the InfraDBM Buyer Terms & Conditions. Where a supplier has agreed specific terms with the buyer (the Agreed Terms on the quote), those prevail on price, payment period and delivery.
All prices are in Australian dollars and exclusive of GST unless stated. GST is shown separately and payable in addition. Shipping fees, where applicable, are shown before the order is confirmed.
Payment is due within the period set by the supplier's approved terms for the buyer (for example, 30 days from the end of month of invoice), or as varied by the Agreed Terms on the quote. Where no terms are approved, the order is payable before dispatch (pay now).
Eligible on-terms invoices may be backed by trade credit cover arranged through InfraDBM's insurer. Cover is subject to the buyer's approval and limit, and to the eligibility of the goods or services invoiced. Cover does not change the buyer's obligation to pay.
Delivery is to the site or pickup point selected at checkout. Risk passes on delivery or collection; title passes on payment in full. Delivery dates are estimates made in good faith.
The buyer confirms receipt of each delivery in-platform. Shortfalls, damage or non-conforming goods must be raised within the window shown on the order. Confirming receipt is a logistics acknowledgement, not a waiver of warranty rights.
Cancellation and returns are as agreed with the supplier; made-to-order and cut items may be non-returnable. Any restocking terms are the supplier's.
Overdue amounts may attract interest and recovery costs, and may lead to suspension of terms. This does not limit the supplier's other remedies.
These terms are governed by the laws of the Australian state or territory of the supplier's registered address, and the parties submit to the courts of that jurisdiction.
